Terms of Service

1. Agreement and eligibility

Agenfra is a service of InterBotz LLC (“InterBotz,” “Agenfra,” “we,” “us,” or “our”). These Terms of Service (“Terms”) form a binding agreement between InterBotz and the person or entity accessing or using Agenfra websites, creator agents, connected channels, applications, Studio, and related services (collectively, the “Services”).

You must be at least 18 years old and legally able to enter into this agreement. If you use the Services for a company, creator, client, or other organization, you represent that you have authority to bind that organization to these Terms.

2. The Services

Agenfra helps creators and businesses build and operate agents that engage people across supported comments, direct messages, websites, connected products, and applications. An agent may use configured know-how, offers, recommendations, conversation history, and user context to provide guidance and determine an appropriate next step.

Features, channels, integrations, deployment modes, and availability may vary by account. We may add, change, suspend, or discontinue features. We do not promise that every integration, message, recommendation, or automated action will always be available, delivered, or error-free.

3. Accounts and access

You are responsible for accurate account information, protecting credentials, limiting access to authorized users, and all activity under your account. Notify us promptly if you suspect unauthorized access. We may require verification or review before enabling a workspace, integration, automated action, or production deployment.

4. Customer and creator responsibilities

If you configure or operate an agent, you are responsible for the content, instructions, offers, products, recommendations, permissions, and deployment settings you provide. You must have a lawful basis and all necessary rights, notices, consents, and permissions to process audience information and connect accounts, channels, data, and third-party services.

You are also responsible for:

• Reviewing and approving agent behavior before enabling live or automated activity where review is appropriate.
• Monitoring results and using available pause, correction, escalation, and access controls.
• Providing legally required disclosures, including disclosures about automated interactions, commercial relationships, endorsements, sponsorships, and compensation.
• Ensuring claims about your offers and partner products are truthful, supportable, and compliant with applicable laws and platform rules.
• Responding to audience privacy requests when you control the relevant data or relationship.

5. User content and permissions

You retain ownership of content you submit to the Services. You grant InterBotz a worldwide, non-exclusive license to host, copy, process, transmit, display, adapt, and use that content as needed to provide, secure, support, and improve the Services and to comply with your instructions and applicable law.

You represent that you have the rights necessary to submit the content and grant this license. Do not submit content that is unlawful, infringing, deceptive, harmful, or that you are not authorized to use.

6. AI-generated output and human judgment

The Services use artificial intelligence and automated systems. Outputs may be inaccurate, incomplete, outdated, or unsuitable for a particular person or purpose. You are responsible for evaluating outputs and applying appropriate human judgment before relying on them or using them for consequential decisions.

Unless expressly agreed in writing, InterBotz is not a provider of legal, financial, accounting, tax, medical, insurance, investment, employment, or other regulated professional advice. The Services do not replace a qualified professional.

7. Creator offers and third-party products

The Services may present creator offers, human services, or third-party products and services. InterBotz or a creator may receive fees, commissions, revenue share, or other compensation related to an offer. Compensation may affect whether, how, or where an offer appears, subject to applicable law and the agent’s configured process.

Third-party products and services are governed by their own terms and policies. InterBotz does not control and is not responsible for third-party claims, availability, pricing, performance, security, or conduct. Review the provider’s terms before acting.

8. Acceptable use

You may not use the Services to:

• Break the law or violate another person’s rights.
• Send unlawful spam, harassment, threats, deceptive messages, or content that violates connected-platform rules.
• Collect, infer, expose, or misuse personal information without authorization or a lawful basis.
• Impersonate another person, misrepresent affiliation, or conceal a legally required disclosure.
• Circumvent safeguards, access controls, rate limits, approval requirements, or monitoring controls.
• Probe, disrupt, damage, reverse engineer, or gain unauthorized access to the Services or another account, except where such a restriction is prohibited by law.
• Upload malware or use the Services to facilitate fraud, abuse, discrimination, or other harmful conduct.

9. Fees, subscriptions, and taxes

Some Services are free, paid, subscription-based, usage-based, or subject to separately agreed fees or revenue share. You authorize us and our payment providers to charge the applicable amounts. Unless required by law or stated in an order, fees are non-refundable. You are responsible for applicable taxes, except taxes based on our net income.

10. Privacy and data

Our Privacy Policy explains how InterBotz handles personal information. Additional data processing terms may apply to business customers. If there is a conflict between those signed terms and these Terms, the signed terms control for the covered subject matter.

11. Public-authority requests

InterBotz may preserve or disclose information when required by applicable law or valid legal process. InterBotz reviews public-authority requests for user data before disclosure. If a request appears unlawful, overbroad, procedurally invalid, outside the requesting authority’s jurisdiction, or inconsistent with applicable law, InterBotz may challenge, narrow, or reject the request before disclosing any user data.

12. InterBotz intellectual property

The Services, software, designs, trademarks, logos, documentation, and other InterBotz materials are owned by InterBotz or its licensors and protected by intellectual-property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you.

13. Feedback

If you provide ideas, suggestions, or feedback, you grant InterBotz a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, provided we do not identify you publicly without permission.

14. Suspension and termination

You may stop using the Services at any time. We may suspend, restrict, or terminate access if we reasonably believe there is a violation of these Terms, security risk, legal requirement, nonpayment, threat to another person or the Services, or activity that could create liability. Where practical, we may provide notice and an opportunity to cure.

Provisions that by their nature should survive termination will survive, including payment obligations, licenses already granted, intellectual property, disclaimers, indemnification, limitations of liability, and dispute terms.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” INTERBOTZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERBOTZ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERBOTZ’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID INTERBOTZ FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so parts of this section may not apply.

17. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless InterBotz and its affiliates, officers, employees, contractors, and suppliers from claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Services, your offers or recommendations, your violation of these Terms, or your violation of another person’s rights.

18. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute not subject to a separate written dispute-resolution agreement will be brought in the state or federal courts located in Delaware, and each party consents to their jurisdiction and venue.

19. Changes to these Terms

We may update these Terms. We will post the revised Terms with a new “Last updated” date and provide additional notice when required. Changes apply prospectively. Your continued use after the effective date means you accept the revised Terms.

20. General terms

These Terms and any applicable order or signed agreement are the entire agreement about the Services. If a provision is unenforceable, it will be modified only as needed and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; InterBotz may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets.
